Welcome to Navadomain ("we," "our," "us," or the "Platform"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, and online domain marketplace services (collectively, the "Services").

By registering an account, listing a domain, or completing a domain purchase through our Platform, you explicitly agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using any of our Services.

1. Eligibility and Account Registration

1.1 Eligibility

To register an account or use our Services, you must be at least 18 years old and possess the legal capacity to enter into valid, binding contracts. If you are registering an account on behalf of a corporate entity or business, you represent warrant that you hold the legal authority to bind that entity to these Terms.

1.2 Account Security

  • You agree to provide true, accurate, current, and complete information during the registration process and keep it continuously updated.
  • You are solely responsible for maintaining the strict confidentiality of your account credentials, including your email and password.
  • Any activity, transaction, or communication occurring under your account is your sole responsibility. You must notify us immediately at our official support channel if you discover or suspect any unauthorized use of your account.

2. Scope of Services

Our Platform operates exclusively as an intermediary venue allowing registered users to list, negotiate, buy, and transfer internet domain names ("Domains").

Role of the Platform: We facilitate the technical venue, structured escrow payment routing, and transfer verification workflows. We do not own, inspect, validate, or guarantee the legal title or quality of the domains listed by third-party sellers, nor do we assume responsibility for the conduct or actions of any buyer or seller.

3. Seller Obligations and Listings

3.1 Domain Ownership & Authority

By listing a domain for sale on the Platform, the Seller explicitly represents and warrants that:

  • They are the sole legal registrant or the officially authorized exclusive agent of the domain name.
  • The domain name is entirely free and clear of all liens, legal disputes, trademark infringements, or third-party proprietary claims.
  • The domain is actively registered and capable of being transferred smoothly to another registrar.

3.2 Listing Accuracy

Sellers must provide absolute, verified accuracy regarding all domain details, including fixed prices, minimum offer limits, traffic statistics (if publicly advertised), and registration renewal dates. Misleading, fraudulent, or duplicate listings may result in immediate listing removal and account termination.

3.3 Non-Exclusive Listing Policy

Sellers may list their domains on other external venues; however, they are strictly required to remove the listing from our Platform immediately if the domain is sold elsewhere. If a domain is purchased on our Platform before being removed, the Seller is bound to fulfill the sale here.

4. Buyer Obligations and Purchasing Commitments

4.1 Binding Offers

Any bid, formal negotiation offer, or "Buy It Now" selection made by a Buyer constitutes a legally binding and irrevocable financial commitment to purchase the domain at that specified price. Offers cannot be retracted or modified once accepted by the Seller.

4.2 Independent Due Diligence

Buyers are independently and solely responsible for conducting extensive due diligence regarding any target domain name before initiating a transaction. This includes, but is not limited to, verifying its history, indexing status, SEO metrics, trademark conflicts, and general suitability for their intended purpose.

5. Fees, Payments, and Escrow

5.1 Marketplace Commissions

The Platform charges a transaction fee (commission) on all successful sales completed through the marketplace. Our standard commission is 10% of the final mutually agreed sale price. This commission is automatically calculated and deducted directly from the final payout delivered to the Seller.

5.2 Escrow Process

To fully protect both buyers and sellers, all completed transactions must flow through our secure, structured payment setup:

  1. Secure Payment: The Buyer deposits the full purchase amount into our designated gateway.
  2. Verification Lock: Funds are held securely by the Platform until the domain transfer process is completely verified.
  3. Payout Release: Once the Buyer confirms receipt and administrative control of the domain (or upon expiration of a maximum 5-day verification window), the funds minus platform commissions are securely released to the Seller.

5.3 Tax Liabilities

Users are solely responsible for identifying, declaring, reporting, and paying any and all applicable local, national, state, or international taxes resulting from transactions finalized on the Platform.

6. Domain Transfer Process

6.1 Transfer Cooperation

Both Buyer and Seller explicitly agree to cooperate fully, transparently, and promptly to execute the transfer of the domain name ownership. The Seller must provide accurate administrative authorization codes (Auth-Codes / EPP codes) and unlock the domain name within 48 hours of payment confirmation. The Buyer must immediately initiate the incoming transfer at their designated registrar upon receipt of the codes.

6.2 Failed or Non-Compliant Transfers

If a Seller fails to cooperate with a transfer workflow within the mandated timeline, the transaction will be canceled immediately, and the Buyer will receive a full refund. Sellers who cause failed transfers may face transactional financial penalties, listing restrictions, or definitive account termination.

7. Prohibited Conduct and Intellectual Property

7.1 Prohibited Domain Listings

Users are strictly prohibited from listing, offering, or purchasing domain names that:

  • Infringe upon protected trademarks, copyrights, patents, or established intellectual property rights of any company or third party.
  • Contain hate speech, defamatory language, illicit slurs, or promote explicitly illegal operations.
  • Are actively involved in legal proceedings, arbitration, or an active Uniform Domain-Name Dispute-Resolution Policy (UDRP) case.

8. Disclaimers and Limitation of Liability

The Platform and all marketplace services are provided strictly on an "As-Is" and "As-Available" basis without explicit or implied warranties of any kind, including merchantability or fitness for a particular purpose.

To the maximum extent permitted by applicable law, NavaDomain shall not be held liable for any indirect, incidental, special, exemplary, or consequential damages resulting from the transfer, loss, registry-level deletions, trademark infringement claims, server downtime, or transactional payment failures.

9. Governing Law

These Terms and Conditions shall be governed by, interpreted, and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. Any legal dispute, action, or proceeding arising under or in connection with these services must be resolved exclusively within the competent courts of Kolkata, West Bengal, India.
